Are you a talented and experienced Corporate Law Clerk seeking a challenging and rewarding opportunity with a leading law firm in Toronto? We are currently looking for a Senior Corporate Law Clerk to join our clients well regarded legal team. As a Senior Corporate Law Clerk, you will play a crucial role in supporting their corporate practice, providing exceptional legal assistance and expertise to their valued clients.

ABOUT THE POSITION

The main roles and responsibilities of this position include:

  • Perform duties related to incorporations, dissolutions, revivals, amendments, continuances, provincial and federal amalgamations, and ramp-ups
  • Strong knowledge of OBCA, CBCA, CIA and LP Acts
  • Asset/share purchase and sale transactions and closings
  • Tax re-organizations and rollovers, corporate reorganizations, financings, and estate freezes
  • Drafting share provisions
  • Domestic, foreign and extra provincial registrations and licensing
  • Preparation of director and shareholder meeting materials
  • Due diligence reviews on minute books and preparation of related rectification documents
  • Other administrative duties as required

THE REQUIREMENTS

  • 12+ years of experience as a corporate law clerk
  • Experience with MS Office, Corplink or similar
  • Share and asset transaction experience
  • Experience with minute book reviews, papering tax transactions (section 85/86), dividend resolutions, and drafting articles of incorporation and amalgamation
  • Ability to work independently and manage own workload

COMPENSATION

  • $90,000 - $120,000
  • Hybrid work schedule
